Focusing on commercial transactions, “outside general counsel” representation, negotiation and preparation of business contracts, emerging business issues, business entity organization and formation, private and preferred equity investments, financing arrangements, private capital raising efforts, representation of borrowers in lending transactions, mergers and acquisitions, stock and asset purchase transactions, sales of businesses, employment matters, executive employment and consulting agreements, non-competition agreements, confidentiality and non-disclosure agreements, corporate governance, shareholder and investor agreements, intercompany service arrangements, regulatory compliance, insurance and reinsurance matters and structural and commercial matters in a variety of industries.
